Straight answers about how SoftCircle works.

SoftCircle

Your questions, answered

What is soft circling?

Soft circling is gathering non-binding indications of interest from investors before a round formally opens, so a founder knows who is likely to participate and roughly how much. A soft circle is not a commitment or a purchase; nothing is binding until the investor signs the final documents.

Who is SoftCircle.ai for?

Founders preparing a raise from seed through Series C, and family offices, angels and other private investors who want a curated pipeline of founders. Both sides can contact our team, and introductions are made only where both agree.

Does SoftCircle.ai sell securities or give investment advice?

No. SoftCircle.ai is educational and introduces people; it is not a broker-dealer, funding portal or investment adviser, it does not recommend or endorse any company or investment, and nothing on the site is an offer to sell or a solicitation of an offer to buy any security.

Can a founder talk about a raise publicly?

It depends on the exemption. Under Rule 506(b) a company may not use general solicitation, while under Rule 506(c) it may, but every purchaser must be accredited and the company must take reasonable steps to verify that. Founders should confirm their approach with securities counsel.

What do family offices look for in a founder?

Most look for a clear problem and market, evidence of demand, a capable team, sensible terms and a plan for the money — and they value a well-organized data room. Every family office has its own mandate, so fit matters as much as the deal.

Does it cost anything?

Creating an account and contacting our team is free. Any paid engagement would be agreed separately, in writing, before any work begins.
